Terms of Service

1. The Service

UIPunch is an AI-powered UI code generation tool. The Service allows you to submit text prompts and optional screenshots, and receive generated user interface code in various programming frameworks. The Service also includes design audit and API access features depending on your subscription plan.

2. Eligibility

You must be at least 18 years old to use the Service. By creating an account, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms.

3. Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must provide accurate information when creating your account and keep it current. You must notify us immediately at support@jadetradeapp.com if you believe your account has been compromised.

4. Subscriptions and Billing

Plans and Credits

The Service offers multiple subscription tiers (Starter, Pro, Business, and Enterprise), each with a monthly allocation of credits or custom usage terms. AI generations, iterations, and audits are metered by request complexity and consume credits starting at one credit per request (unless otherwise specified in your plan). Credit allocations reset monthly on your billing date. Unused included credits do not roll over to the next billing period.

Billing

Subscriptions are billed in advance on a monthly or annual basis through Stripe. By subscribing, you authorize us to charge your payment method at the beginning of each billing cycle.

Overage

If you exhaust your included credits, you may purchase additional prepaid overage balance. Overage charges may include per-request minimums and can increase for token-heavy requests. Prepaid overage balance does not expire as long as your account is active.

Price Changes

We may change subscription prices with at least 30 days' notice. Price changes take effect at the start of your next billing cycle after the notice period.

Cancellation

You may cancel your subscription at any time through your account settings or by contacting us. Cancellation takes effect at the end of your current billing period. You retain access to the Service until the end of the period you have already paid for.

Refunds

We do not offer refunds for partial billing periods. If you believe you were charged in error, contact us at support@jadetradeapp.com within 30 days of the charge.

Annual Subscriptions

Annual subscriptions are billed as a single payment for 12 months. If you cancel an annual subscription, you retain access until the end of the 12-month period. No partial refunds are issued for annual subscriptions except where required by applicable law.

5. Intellectual Property — Your Content

Your Prompts

You retain all rights to the text prompts and images you submit to the Service.

Generated Code — Ownership

As between you and UIPunch, you own the code generated by the Service in response to your prompts, subject to the limitations below. You may use, modify, distribute, and commercialize the generated code without restriction, including in commercial products and applications.

Generated Code — Limitations

The generated code is produced by AI models and may be similar or identical to code generated for other users from similar prompts. We do not guarantee that generated code is unique to you. We do not guarantee that generated code does not infringe any third-party intellectual property rights. Under current U.S. copyright law, purely AI-generated content may not be eligible for copyright registration. The extent to which generated code qualifies for copyright protection depends on the degree of human creative contribution you add to it. We make no representations about the copyrightability of the generated code.

No Exclusivity

We may generate similar or identical code for other users. Nothing in these Terms grants you exclusive rights to any particular output, design pattern, or code structure.

License to Us

You grant us a limited, non-exclusive, worldwide license to use, store, and process your prompts and uploaded images solely for the purpose of providing the Service (generating code, running audits, etc.). We do not use your content to train AI models or for any purpose other than providing the Service to you.

6. Intellectual Property — Our Property

The Service itself — including the UIPunch website, user interface, design, underlying algorithms, pattern database, prompt engineering, and all associated documentation — is owned by JadeTrade Marketplace LLC and protected by intellectual property laws. These Terms do not grant you any rights to our trademarks, trade secrets, proprietary methods, or the UIPunch brand.

You may not reverse engineer, decompile, or attempt to extract the source code, algorithms, pattern database, or prompt engineering methods used by the Service.

7. API Usage

If you use the UIPunch API, you agree to:

• Use your API key only for your own authorized applications
• Not share, publish, or expose your API key
• Not circumvent rate limits or credit restrictions
• Not use the API to build a competing service that replicates UIPunch's core functionality
• Comply with all other terms in this agreement

We may revoke API access for violation of these terms or for any activity we reasonably determine to be abusive.

8. Acceptable Use

You agree not to use the Service to:

• Generate code that is intentionally malicious, including malware, phishing interfaces, or deceptive UIs designed to mislead users
• Violate any applicable law or regulation
• Infringe on any third party's intellectual property or other rights
• Attempt to access other users' accounts, data, or generated content
• Circumvent credit limits, billing mechanisms, or security measures
• Overload, disrupt, or interfere with the Service's infrastructure
• Use automated means to access the Service except through the official API
• Resell access to the Service without our written permission

We reserve the right to suspend or terminate accounts that violate these terms.

9. Third-Party AI Services

The Service uses third-party AI models (including Anthropic's Claude and Google's Gemini) to generate code. These third-party services have their own terms and limitations. We do not control and are not responsible for the behavior, output quality, or availability of third-party AI models. If a third-party AI provider changes its terms, pricing, or availability, we may need to modify the Service accordingly.

10. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY.

Specifically, we do not warrant that: generated code will be free of bugs, errors, or security vulnerabilities; generated code will not infringe any third-party rights; the Service will be uninterrupted, timely, or error-free; generated code will be suitable for any particular use case or meet your specific requirements; or the quality or design of generated code will match any particular standard.

You are solely responsible for reviewing, testing, and validating all generated code before using it in any application, particularly in production environments.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, JADETRADE MARKETPLACE LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify, defend, and hold harmless JadeTrade Marketplace LLC and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from: your use of the Service; your violation of these Terms; your use of generated code in your own products and applications; or your violation of any third party's rights.

13. Dispute Resolution

Before filing a formal claim, you agree to contact us at support@jadetradeapp.com and attempt to resolve the dispute informally for at least 30 days.

Any dispute arising out of or relating to these Terms or the Service that cannot be resolved informally shall be resolved through binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, conducted in the State of Delaware.

Arbitration will be conducted on an individual basis only. You and Company waive any right to bring or participate in class, collective, consolidated, representative, or private attorney-general actions, and waive any right to a jury trial to the fullest extent permitted by law.

Either party may bring an individual action in small claims court for qualifying disputes, and either party may seek injunctive relief in any court of competent jurisdiction to protect intellectual property rights.

14. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.

15. Modifications to Terms

We reserve the right to modify these Terms at any time. We will provide at least 30 days' notice of material changes by posting the updated Terms on this page and updating the “Last updated” date. Your continued use of the Service after the effective date of changes constitutes acceptance of the modified Terms. If you do not agree with the changes, you must stop using the Service and cancel your subscription.

16. Termination

We may suspend or terminate your account at any time for violation of these Terms, with or without notice. Upon termination: your right to use the Service ceases immediately; we may delete your account data after 30 days; and any outstanding fees remain due. Sections 5, 6, 10, 11, 12, 13, and 14 survive termination.

17. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions continue in full force and effect. The invalid provision will be modified to the minimum extent necessary to make it valid and enforceable.

18. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and JadeTrade Marketplace LLC regarding the Service and supersede all prior agreements and understandings.
